Remuneration of the Board of Directors

Remuneration of the Board of Directors is annually decided upon by the Annual General Meeting.

Remuneration 2019

The fees were determined at the Annual General meeting 2019 to SEK 7,930,000 in total (including fee for committee work) to be distributed between the Board members as follows: the Chairman of the Board shall receive SEK 2,200,000, the Vice Chairman shall receive SEK 845,000 and each of the other Board members, except the employee representatives, shall receive SEK 635,000.

As consideration for the committee work, the Chairman of the Audit Committee shall receive SEK 325,000, the Chairman of the Remuneration Committee shall receive SEK 100,000, the members of the Audit Committee each SEK 200,000 and the members of the Remuneration Committee each SEK 50,000.

Above information refers to full year remuneration for the current Group Management, unless stated otherwise. The Board of Directors has no pension benefits.

(2) Base salary and 30% salary in lieu of pension contributions KSEK 3 404 and translation difference from GBP for part of salary paid in the United Kingdom according to agreement.
(3) In addition, salary for the period March 1 to March 7, 2018 amounted to KSEK 288. Compensation for advisory engagement for the period March 8 to December 31, 2018 amounted KSEK 7 994. There are no other benefits, variable compensation or pension in this engagement (4) Other members of Group Management consisted as of December 31, 2018 of ten persons. The compensation for Magnus Ahlqvist in the role as Divisional President Security Services Europe during the period January 1 to February 28, 2018 is included in this amount, as well as for one member who left
the Group Management during 2018.
