Securitas AB launches share offering

In line with previous announcements from Securitas AB and in accordance with the proposal to the Annual General Meeting to be held on 15 April, 1999, Securitas AB is now commencing an offering process of up to 24,347,826 of its Series B Shares, nominal value SEK 1 per share (Series B Shares). The shares are being offered by a syndicate of Managers lead by Deutsche Bank as Global Coordinator and Bookrunner. Securitas AB has granted the Managers an option, exercisable within 30 days of the execution of an Underwriting Agreement, to purchase up to an additional 3,652,174 Series B Shares.

The Series B Shares offered hereby are being offered in the United States to qualified institutional buyers in reliance on Rule 144A under the US Securities Act of 1933, as amended and outside the United States in reliance on Regulation S under the Securities Act.

Pricing of the offering is expected to take place on Tuesday, April 20, 1999.

The Series B Shares are listed on the A-list of the Stockholm Stock Exchange.
